Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Global Propylink Platforms Ltd, doing business as Homesngr ("Company," "we," "us," or "our"), a technology company incorporated under the laws of the Federal Republic of Nigeria, governing your access to and use of the Homesngr website, mobile applications, and all related platforms, tools, and services (collectively, the "Platform" or "Services").

By accessing, browsing, registering for, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, Cookie Policy, and any other guidelines or policies referenced herein. If you do not agree to these Terms, you must not access or use the Platform.

The Platform is intended for use by individuals who are at least 18 years of age. By using the Platform, you represent and warrant that you seek to use our Services for lawful purposes and meet all eligibility requirements.

1. DEFINITIONS

"Account" means the user profile created by you to access certain features of the Platform.

"Content" means any text, graphics, images, audio, video, software, data compilations, and other materials available on the Platform.

"User Content" means any Content that you post, upload, publish, submit, or transmit to be made available through the Platform, including property listings, reviews, and messages.

"Property Listing" means a listing for the sale, lease, or rental of real property published on the Platform.

"Service Provider" means any third-party professional, including real estate agents, developers, lawyers, and surveyors, listed on or accessible through the Platform.

2. ACCOUNT REGISTRATION AND SECURITY

2.1 Registration

To access certain features of the Platform, you must register for an Account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. Failure to provide accurate information may result in the suspension or termination of your Account.

2.2 Account Security

You are responsible for safeguarding your password and for all activities that occur under your Account. You agree not to disclose your password to any third party and to take sole responsibility for any activities or actions under your Account, whether or not you have authorized such activities. You must notify us immediately of any unauthorized use of your Account.

2.3 Identity Verification

To maintain the integrity of our Platform, we reserve the right to verify your identity using government-issued identification documents or other means. Failure to comply with verification requests may result in restricted access or Account termination.

3. USE OF THE PLATFORM

3.1 License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your personal and non-commercial purposes (unless otherwise agreed in writing).

3.2 Prohibited Activities

You agree not to do any of the following:

• Use the Platform for any illegal purpose or in violation of any local, state, national, or international law.
• Post, upload, or distribute any User Content that is unlawful, defamatory, libelous, inaccurate, or that a reasonable person could deem to be objectionable, profane, indecent, pornographic, harassing, threatening, embarrassing, hateful, or otherwise inappropriate.
• Violate, or encourage others to violate, any right of a third party, including by infringing or misappropriating any third-party intellectual property right.
• Interfere with security-related features of the Platform, including by disabling or circumventing identifying, authentication, or access control mechanisms.
• Interfere with the operation of the Platform or any user's enjoyment of the Platform, including by uploading or otherwise disseminating any virus, adware, spyware, worm, or other malicious code.
• Attempt to scrape or collect data from the Platform using automated means (bots, spiders, scrapers) without our prior written permission.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.

4. PROPERTY LISTINGS AND TRANSACTIONS

4.1 Listing Accuracy and User Representations

Users who post Property Listings represent, warrant, and covenant that all information, descriptions, photographs, and documents they submit (including, without limitation, title-related materials and ownership representations) are true, accurate, and valid to the best of their knowledge; that they have the lawful right and authority to market, sell, lease, or rent the property as stated; and that no fraud, forgery, or intentional misrepresentation is involved. You acknowledge that providing false, misleading, or fraudulent information may result in immediate removal of content, suspension or termination of your Account, and referral to appropriate authorities where required by law.

4.2 No Guarantee of Authenticity or Outcome

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. Homesngr does not guarantee, warrant, or represent the existence, quality, safety, or legality of any property advertised; the truth, accuracy, completeness, or authenticity of any User Content or Property Listing (including any documents uploaded or described in connection therewith); the identity, authority, or creditworthiness of any user; the ability of any party to complete a transaction; or that any transaction will occur.

While we may undertake reasonable, good-faith efforts to promote integrity on the Platform (such as optional verification workflows, moderation, or user reporting), any such measures are discretionary and administrative only and do not constitute a guarantee, endorsement, or certification of any listing, document, or user. You agree that you will conduct your own due diligence (including, where appropriate, legal, title, and physical inspection) and will not rely solely on Platform content or any verification status when making decisions.

To the fullest extent permitted by applicable law, Homesngr disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, with respect to listings and User Content.

4.3 Commissions and Fees

Certain services on the Platform may be subject to fees or commissions. By using such services, you agree to pay all applicable fees as described on the Platform. Specifically:

• Property Sales: A commission of 1% on the final sale price is payable upon successful completion of the transaction.
• Property Rentals: A fixed commission of NGN 10,000 is payable upon successful lease execution.

All fees are non-refundable unless otherwise stated. You are responsible for paying all applicable taxes associated with your use of the Platform.

5. INTELLECTUAL PROPERTY RIGHTS

The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Homesngr, its licensors, or other providers of such material and are protected by Nigerian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

By posting User Content on the Platform, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any media.

6. THIRD-PARTY SERVICES

The Platform may contain links to third-party websites or services that are not owned or controlled by Homesngr. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Homesngr shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

Any engagement with third-party Service Providers found through the Platform (such as lawyers or agents) is solely between you and the Service Provider. Homesngr is not a party to any agreement entered into between you and such third parties.

7. DISCLAIMERS

THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. Homesngr DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE PLATFORM OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Homesngr IS NOT A REAL ESTATE BROKER, LENDER, OR LAW FIRM. ALTHOUGH WE PROVIDE TOOLS TO FACILITATE TRANSACTIONS, WE DO NOT PROVIDE LEGAL, FINANCIAL, OR REAL ESTATE ADVICE. YOU SHOULD CONSULT WITH QUALIFIED PROFESSIONALS FOR ADVICE SPECIFIC TO YOUR SITUATION.

8. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Homesngr, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE PLATFORM.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) TEN THOUSAND NIGERIAN NAIRA (NGN 10,000).

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Homesngr and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from: (a) your use of or access to the Platform; (b) your violation of these Terms; (c) your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right; or (d) any claim that your User Content caused damage to a third party.

10. TERMINATION

We may terminate or suspend your Account and bar access to the Platform immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of these Terms. Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by arbitration in accordance with the Arbitration and Conciliation Act Cap A18 Laws of the Federation of Nigeria 2004. The arbitration shall be held in Abuja, Nigeria, and shall be conducted in the English language.

Notwithstanding the foregoing, we reserve the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our intellectual property or proprietary rights.

12. GENERAL PROVISIONS

12.1 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.

12.2 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Platform, constitute the entire agreement between you and Homesngr concerning your use of the Platform.

12.3 Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will maintain the effective date at the top of this page. Your continued use of the Platform following the posting of any changes to these Terms constitutes acceptance of those changes.
